This Agreement is by and between Smartinfosys.net, its Clients their heirs, assigns, agents, and contractors, and Users of the Smartinfosys.net website and is made effective as of the date of electronic execution. By accessing the Smartinfosys.net website, you acknowledge and agree that you have read, understood, acknowledged, and agreed to be bound by all the terms and conditions of this Agreement.

Interpretation and Definition

In this Agreement, the following terms shall have the meanings assigned to them:

Refers to the entire contract, including the Terms and Conditions, Service Descriptions, Payment Terms, Project Brief, and any addenda. In case of any conflict, the Project Brief takes precedence, except for Payment Terms, where the Payment Schedule prevails.

The provider of website development, web hosting, website design, website maintenance and support, web consultancy, graphic designing, digital marketing services/SEO, and content writing.

C. Client

The company or individual who agrees to the terms of the Agreement with Smartinfosys.net, including employees, agents, representatives, and subcontractors as detailed in the Project Brief.

D. You

Any visitor to the Smartinfosys.net website.

E. Site

The Smartinfosys.net website located at https://www.smartinfosys.net.

F. Commencement Date

The date on which the Services begin as outlined in the signed Project Brief.

G. Fees

The amount payable by the Client for the Services provided by Smartinfosys.net, as detailed in the Project Brief.

H. Payment Terms

The agreed-upon schedule of payments that the Client must make to Smartinfosys.net for the Services, as outlined in the Agreement.

I. Services

The services offered by Smartinfosys.net, including those specified in the Project Brief and available on the Smartinfosys.net website. This may include website development, website designing, website hosting, online marketing services, SEO, PPC, social media management, and content writing.

J. Terms

These refer to the terms of business, including any Proposals related to the Agreement.

K. Fees

The amounts payable by the Client for the Services provided by Smartinfosys.net as detailed in the Project Brief

L. Sign Off Form

Any engagement letter or document labeled "Sign Off Form" that is agreed upon between you and Smartinfosys.net, either separately or attached to these Terms, via any written mode of communication including WhatsApp, telephonic communication, written PMs, Skype, WhatsApp, live chat, email, Facebook, or any other channel where written communication is available.

M. Proposal

A document or email outlining the Services, process, and timeframe for delivery, provided by Smartinfosys.net.

N. Onetime Project

A single project of Services conducted over a short or specific period, separate from ongoing or monthly retained work.

O. Retained

A retained service agreement indicates that the Client has secured Smartinfosys.net's services for a specific period, ensuring availability for ongoing tasks and support.

P. Ongoing

Ongoing services refer to the continuous provision of services that are consistently performed over time, rather than being completed as a one-time project.

Q. Monthly

Monthly refers to the billing cycle and delivery frequency, where services are provided and payments are made every month, allowing for regular service updates and maintenance.

R. Date of Commencement

The date indicating the acceptance of the application by the User for the Service, specified by the Company.

S. Date of Termination

The date when the User's subscription ends or the date mentioned in the termination letter issued by the Company.

T. Party/Parties

Refers to the User and/or the Company in the context of the Agreement.

U. Registration Data

The database of all particulars and information supplied by the User during the initial application and subscription, including name, telephone number, mailing address, account, and email address.

V. Parties Involved

Refers to the service provider (Smartinfosys.net) and the Client, including names, addresses, and contact information for each party.

W. Scope of Work

The services provided for the project, including web hosting, web design, SEO, and web development.

X. Deliverables

Tangible outcomes the Client can expect, including for Website Development: a functional website with integrated features; for Web Design: an appealing layout and responsive interface; for Graphic Design: custom graphics and branding materials aligned with the Client's goals; and for SEO: optimized content, keyword reports, and improved search engine visibility.

Y. Payment Terms

The costs of the services provided, payment schedule, and penalties for late payment.

Z. Contract Duration

The length of the contract, including renewal and termination conditions.

AA. Reporting and Communication

How often updates and reports will be provided during the project.

BB. Usage Conditions

Regulations governing the use of the website and services, including restrictions on copying and distributing content without permission.

CC. Confidentiality Clause

Protects sensitive business information from being disclosed to the public.

DD. Termination Clause

Outlines how either party can terminate the contract, including notice period requirements and consequences of early termination.

EE. Modification of Terms and Conditions

The process by which Smartinfosys.net may update terms and conditions, including customer notification procedures and acceptance criteria.

FF. Renewal Term

The automatic renewal period for the same length as the Initial Term unless terminated by either party.

GG. Account

All services provided to a customer, defined by the primary ownership email and physical address.

HH. Recurring Fees

Charges that occur automatically based on the service agreement, with specified conditions for payment.

II. Electronic Check (eCheck or ACH)

A payment method where bank information is stored for recurring payments, requiring adequate funds.

JJ. Taxes

Any sales, VAT, or similar taxes that the Customer must remit to Smartinfosys.net for services provided.

KK. Cancellation Notice

A required notification to Smartinfosys.net prior to the renewal date for cancellation of services.

LL. Acceptable Use Policy (AUP)

A set of guidelines that the Customer agrees to follow while using the services, which can be amended by Smartinfosys.net.

MM. Web Hosting

A service provided to a User that includes storage, connectivity, and related services necessary to host the User's business website.

NN. Optimisation Progression/Monthly Progression of Services

Part of the Proposal or accompanying document/email that outlines how the delivery of Services will occur over the period covered by the Terms.

OO. Success Metrics

How the success of the SEO campaign will be measured, such as organic traffic or keyword rankings.

PP. Service Guarantee

A statement outlining that while Smartinfosys.net will employ best efforts in service delivery, specific results or increases in prospects or sales are not guaranteed.

QQ. Liability Limitations

Limits the liability of Smartinfosys.net in case of damages or losses. For Web Hosting, the provider is not responsible for issues caused by third parties. For Website Development, liability is limited for any bugs or errors. For SEO, the provider is not liable for changes in search engine algorithms. For Web Design, responsibility is limited for any functionality issues. For Graphic Design, the provider is not responsible for any problems arising from the use of graphics.

RR. Estimates/Quotes

Preliminary cost assessments based on the provider’s understanding of client requirements and timelines, subject to change if functionalities are altered.

SS. Complexity Notification

The requirement for clients to inform the service provider of any complexities or specific challenges related to tasks in advance, ensuring accurate project costing and planning.

TT. Man-Hours Allocation

The designated time assigned for specific project tasks, measured in hours worked by personnel, ensuring efficient resource management and adherence to project timelines.

UU. Project Completion

The stage in a project where all deliverables have been finalized, approved, and handed over to the client, fulfilling the agreed-upon scope, timeline, and quality standards as outlined in the contract or proposal.

VV. Client Delays

Delays caused by the client may affect project timelines and could incur additional charges.

WW. Bugs

Programming errors or defects in software that cause it to produce incorrect or unexpected results, behave unexpectedly, or fail to perform its intended functions.

XX. Re-Work Charges

Fees incurred for modifications or adjustments made to tasks that have already been completed, particularly when changes are requested after the initial approval or when additional work is needed beyond the agreed scope.

YY. Content Provision

The requirement for clients to deliver all necessary content for a website or application within the initial two weeks of the project timeline to prevent delays and additional costs.

ZZ. Testing

Websites/applications are generally tested on specific browsers and devices, and any additional testing requests must be communicated in advance.

AAA. Non-Hosted Projects

Projects that are developed and maintained on the client’s own server or hosting environment rather than on the service provider's servers. The service provider is not responsible for issues related to server performance, network problems, or additional man-hours required due to the client's hosting setup.

BBB. Project Stalling

A delay in project progress due to inaction from the client. If stalled for over two months, it incurs administrative fees and may increase costs. Clients must notify in writing to pause the project, ensuring their account is current to avoid extra charges.

CCC. Copyrights

Legal rights that grant the creator of original works exclusive control over their use, reproduction, and distribution. Copyrights protect various forms of content, including written material, music, software, and visual art, preventing unauthorized use or duplication by others.

Terms of Use

1. License

1.1 Grant of License:

By using this site, Smartinfosys.net grants you a worldwide, non-exclusive, non-transferable, revocable, limited license to access and make personal use of the information and services provided on this website, strictly under these Terms. Smartinfosys.net reserves the right to amend or terminate this license at any time and for any reason.

4.2 Customer Eligibility

The use of the Site is available only to individuals who can form legally binding contracts under applicable law. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872, including minors and un-discharged insolvents, are not eligible to use the Site. A minor, defined as an individual under the age of 18 years, cannot register as a member of the Site. The Company reserves the right to terminate a User's membership and may refuse to provide access to the Site if it discovers that the User is under the age of 18. The Site is not available to individuals whose membership has been suspended or terminated by the Company.

4.3 Electronic Communications

The User hereby consents to receive communications from the Company electronically. The Company may communicate with the User by email or by posting notices on the Site. The User agrees that all agreements, notices, disclosures, and other communications that the Company provides to the User electronically satisfy any legal requirement that such communications be in writing.

Terms of Service

Smartinfosys.net offers services that include web design/development, web hosting, digital marketing services.

1. Quote for Provision of Services

1.1 Validity of Quotes:

All quotes provided by Smartinfosys.net are valid for 7 days from the date of issuance. During promotional periods, Smartinfosys.net may amend this validity.

Acceptance of the quote can be provided in writing, via our Project Management System, email, Skype, or any of our social media platforms. You can also accept quotes through our website's live chat system.

2. Commencement of Services

2.1 Project Terms

All estimates and quotes provided by Smartinfosys.net are based on our understanding of your requirements and the specified time-frame. Any changes to the functionality, including micro-improvements, may incur additional costs accordingly. We recommend clarifying our experience in a face-to-face meeting.

By accepting a quote, you agree to and accept the terms and conditions of Smartinfosys.net. Acceptance of the quote can be provided in writing, via our Project Management System, email, Skype, or any of our social media platforms. You can also accept quotes through our website's live chat system.

2.2 Client Responsibilities for Quotes and Proposals

Clients are responsible for ensuring that all requirements are included in the quotes, proposals, and estimates provided by Smartinfosys.net. It is crucial that clients provide clear guidelines, along with any specific details or workflows required.

If such details are not provided, we will proceed based on our understanding of the requirements and quote accordingly. Should a discrepancy arise at a later stage, it may lead to additional costs to accommodate the necessary changes.

Therefore, clarifying every aspect of your website development is essential to ensure that the quoted requirements align with your needs.

2.3 Complexity and Task Management

Any complexities related to specific tasks must be advised in advance and included in the proposal for accurate costing. We operate in good faith and rely on our clients to provide a complete picture at the time of quotation. Any discrepancies arising from unclear requirements will not be the responsibility of Smartinfosys.net.

Please note that there are limited man-hours allocated to each task, including Project Management and Digital Strategy/Business Analysis. Minor changes may be accommodated within the allocated hours, but this will be analyzed on a case-by-case basis.

2.4 Project Timelines and Responsibilities

Smartinfosys.net will make every effort to complete the project and any requested changes within the given timeframe. Reasonable delays may be accepted if functionalities are redefined or modified.

Please be aware that any delays on the client’s end may affect the project timeline and proposed timeframes, potentially leading to additional costs.

Furthermore, any bugs (programming errors) reported during or immediately after the development phase will not incur additional charges.

2.5 Rework and Modification Charges

Any rework on a task that has already been completed will incur additional charges. Changes to the design after approval will also result in extra fees.

Modifications requested during the development phase or after Go-Live approval will attract additional charges. All work that exceeds the original estimates will be billed separately. Under no circumstances will Smartinfosys.net be liable for delays caused by changes to the project brief.

2.6 Project Content and Terms of Service

  • Content Submission: Website/application content and all related materials must be provided within the first two weeks of project commencement. Delays beyond this timeframe may affect the project schedule and could incur additional charges if they extend beyond a reasonable period.
  • Testing Procedures: Our websites and applications are typically tested on PCs using the latest versions of the following browsers: Internet Explorer, Firefox, Chrome, and Safari. If you require testing on any other browser, please inform us in advance. Responsive and multi-device compatible web pages are tested on iPhones and iPads; if testing on other devices is needed, please discuss this beforehand.
  • Server Issues: If your website/application is not hosted on a Smartinfosys.net server, any additional man-hours required due to server or network-related issues are not covered in our quotes and may incur separate charges.
  • Project Stalling: Any project stalling for over two calendar months will incur administration costs of $99 per month. Additionally, this may lead to increased previously approved estimates. If you need to put the project on hold, please advise us in writing in advance. To avoid additional charges, the account must be up to date based on completed work.
  • Copyrights and Licensing: Smartinfosys.net retains copyrights to all software codes (excluding open-source software). The codes can be transferred at an additional cost upon settling all previous invoices, provided they are used for further development for the specified client or legal entity. Codes may not be used for resale or duplication.
  • Proprietary CMS: Synapse CMS is a proprietary content management system owned by Smartinfosys.net. All codes written for clients are under our copyright unless arrangements are made prior to the project start. A license to use any custom-built software is granted to the client for their use only, as long as hosting fees are paid. Synapse CMS cannot be transferred to an external host and access to the software codes is restricted.
  • Deployment Environment: The website or software application is designed for deployment on a commercial-grade web server or a similar setup. Performance may be affected if deployed on a generic office network.
  • Third-Party Components: Depending on required functionalities, third-party components such as payment gateways or SSL certificates may be involved. While we strive to ensure compatibility, any unforeseen limitations of third-party components are beyond our control. Costs associated with these components are not included in our quotes.
  • Open Source Products: Smartinfosys.net does not take responsibility for open-source products such as WordPress or Joomla. It is the client's responsibility to update all components and third-party software. We recommend regular backups to prevent disruptions.
  • Third-Party Provider Packages: We offer packages in coordination with third-party providers. Changes to their rules and policies may impact our services and terms.
  • Unforeseen Circumstances: Clients must acknowledge that unforeseen circumstances may delay the development process, particularly regarding third-party software integration. We will do our best to adhere to the proposed schedule, and clients agree not to penalize us for genuine delays.
  • Domain and Hosting Charges: Domain registration and renewal charges are not included in project proposals unless specified. A separate quote will be provided if needed. Hosting charges are similarly not included unless stated; we can organize an appropriate hosting solution, which will also be quoted separately. Clients should consult us before finalizing their hosting and database options to ensure compatibility with the technology used for development.
  • Testing and Access: Smartinfosys.net builds and tests websites/applications on our servers. Access to test servers or websites is not provided to clients or third parties. The website/application can be transferred to a nominated third-party server upon full payment of all invoices.
  • License Granting: Upon full payment of any outstanding invoices, Smartinfosys.net grants an unconditional license to the client to reproduce, publish, and use the graphics, text, and images used in the published website. This does not include intellectual property related to digital strategies, programming codes, database structures, or functionalities.
  • Communication: All communications and correspondences will typically be conducted via Project Management System, Email, Skype, WhatsApp and also through our Live Chat on our website. It is the client's responsibility to keep us updated with their relevant email addresses and contact details.

3. Service Availability

  • Our standard operating hours are Monday to Saturday, from 9:00 AM to 8:00 PM IST (GMT+5:30).
  • Occasionally, we may work evenings or weekends at no additional cost when required to meet project deadlines or service commitments. However, such scheduling is at our discretion and cannot be guaranteed upon client request.
  • The services provided will be distributed throughout the month in which they are scheduled, rather than concentrated in a short timeframe, and will typically occur during our standard working hours.

4. Response Times

  • During our standard operating hours, you can expect a prompt response to direct communications, usually within 48 hours.
  • There may be instances when our response time exceeds this timeframe, but we will always strive to reply as quickly as reasonably possible.

5. Renewal - Continuous Service Agreement

  • This agreement specifies that it will automatically renew on a yearly basis. If a customer wishes to change their package—whether to increase or decrease the services—they must provide written notice via Project Management System, Email, Skype, WhatsApp or through our Live Chat on our website.
  • In the event of service termination, the customer is required to notify the Smartinfosys.net team in advance. Failure to do so will result in a renewal bill being issued for the next year, and payment will be collected accordingly.
  • The renewal charges will either match the current agreement rate or the amount paid in the previous year, whichever is higher.
  • It is the customer’s responsibility to ensure timely renewal payments to maintain continuous and reliable services.

6. Dedicated Staffing Packages

  • Scope of Services: You can hire dedicated professionals from us in various fields, including website design, website coding, graphic design, SEO, and quality testing. Our developers are highly experienced, skilled, and passionate about delivering your project with complete satisfaction.
  • Work Hours and Availability: We guarantee 176 hours of work per month, equating to 22 days at 8 hours per day. Dedicated staff are available from Monday to Friday, from 10 AM to 6 PM Indian Standard Time (GMT+5:30).
  • Project Management: Upon hiring dedicated staff from us, we will assign a Project Manager (PM) as your single point of contact. The PM will manage all work, ensure timely execution and delivery after thorough testing, and handle all project-related communication. The PM will also maintain records of hours consumed on each task.
  • Project Management System: We provide access to our project management and screen monitoring systems. In many cases, your website will be configured on our test server to perform work efficiently. Upon your approval, changes will be migrated to the live server, ensuring no downtime and maximum efficiency.
  • Screen Monitoring: You can monitor your work regularly through our screen monitoring system, which captures screenshots of your project every 5 minutes. This arrangement ensures that your remote team works under expert supervision.
  • Infrastructure: We offer a sophisticated infrastructure with the latest computer hardware and software, a secure network, and modern communication facilities to support the work on your project.
  • Cost: The hourly cost for dedicated staffing is as low as USD 11. Each dedicated staff member is available for 8 hours daily to work on your tasks and is accessible via Skype or Live Chat for discussions.
  • Confidentiality and Rights: We sign a Non-Disclosure Agreement (NDA) with our customers to ensure that any information shared with us remains confidential. We also grant 100% exclusive rights to the work produced to the customer.
  • Idle Time: In cases where the dedicated staff experience idle time due to the unavailability of tasks from the client, the full contracted hours will still be accounted for.
  • Communication: It is the client’s responsibility to ensure clear communication of tasks and timely feedback to avoid delays in project delivery.

7. Hour Based Maintenance Packages

  • We guarantee high-quality work and provide flexible hourly-based arrangements that allow you to effectively manage your budget and requirements. Our packages are designed to be cost-effective, enabling you to utilize purchased hours throughout the year without the obligation of continuous work.
  • 50-Hour Minimum Package: A minimum purchase of 50 hours is required, and these hours remain valid for 12 months, allowing you to use them at any time throughout the year. Tasks assigned by the client will be addressed within 12-24 hours from the time of allotment, and full payment is required in advance to secure the package.
  • 25-Hour Minimum Package: This package requires a minimum purchase of 25 hours. Similar to the 50-hour package, purchased hours are valid for 12 months and can be utilized at your convenience. The service agreement ensures that tasks assigned will be addressed within 12-24 hours from the time of allotment, and full payment is required upfront.
  • 10-Hour Minimum Package: This package requires a minimum purchase of 10 hours. The purchased hours are valid for 12 months, allowing flexibility in their usage. Tasks assigned will be attended to within 12-24 hours from the time of allotment, and full payment is necessary in advance.
  • 1-Hour Minimum Package: The hours purchased are valid for 12 months, giving you the freedom to use them when needed. The service agreement ensures that tasks will be addressed within 12-24 hours from the time of allotment, with full payment required in advance.

Project Management

Upon purchasing a package, we will create an account for you in our project management and screen monitoring systems. A dedicated project manager will serve as your single point of contact, overseeing all work and ensuring that it meets your expectations. You can regularly monitor the progress of your project through our screen monitoring system, which captures screenshots of your work every five minutes.

Efficiency and Downtime

In many cases, we will configure your website on our test server to carry out the necessary work. Once you provide your approval, the changes will be migrated to the live server, ensuring there is no downtime and maximizing efficiency throughout the project.

Hour Usage and Reporting

Purchased hours are valid for use at any time within one year from the date of purchase. We will provide an hour consumption report based on the task list submitted by you, the client. Any unused hours will remain as credit for one year from the purchase date.

8. Website Design & Development

Smartinfosys.net agrees to design and develop a website at the Client’s request, delivering work according to the specifications outlined in the Project Brief. The following steps outline our process for general website design and development projects:

1. Project Initiation

  • Upon acceptance of the quote, the initiation payment will be processed to start the project. A Zoom, Skype, or Google Meet session may be held to discuss the requirements in detail, allowing for a comprehensive understanding of the project scope, expectations, and any specific needs or preferences the Client may have.
  • The Client and Smartinfosys.net will agree on the detailed description of each Project Brief, including creative briefs, site structure, number of pages, deadlines, and other relevant terms, before signing off the contract. Any changes in the scope of work after the contract is signed will entail additional costs, which will be communicated and agreed upon before proceeding.

2. Brand Details Submission

  • Once we receive your brand materials—such as logos, images, and branding guidelines—we will provide a mock-up for your review within 48 working hours. For initial design drafts, we guarantee a turnaround time of 48 hours for orders placed between Monday and Thursday, with designs for Friday and Saturday orders supplied the following Tuesday. The overall delivery timeline depends on your feedback and the selected coding framework, with an average of 8 days for complete development of an HTML site with 5 to 10 pages and about 14 days for a complete CMS website with standard pages. This approach ensures a smooth workflow while accommodating your input for a polished final product.
  • You will have complete ownership of the designs once finalized, which will be delivered in PSD and PNG formats. The coding will be provided in either the Bootstrap framework or HTML5, based on your conversion choice. We ensure that all coding is optimized for speed according to Google PageSpeed standards and is fully responsive across desktop, mobile, and tablet devices. Additionally, the CMS website will be W3C compliant and cross-browser compatible, guaranteeing a seamless experience for all users. This comprehensive approach ensures that your website not only looks great but also performs efficiently across various platforms.

3. Design Review and Modifications

  • You can review the design and suggest improvements. Generally, we allow up to 2 revisions within the initial estimates. Please refer to your allocated design and development hours for specific details.
  • If the Client fails to deliver necessary information or content within 30 days, Smartinfosys.net may consider the project canceled without a refund.

4. Website Development

  • Once the design is finalized and approved, we’ll proceed with website development. Please note that any changes requested after the coding phase has begun will incur additional expenses.

5. CMS Setup

  • If your project includes a Content Management System (CMS), we will set up your website on the selected CMS once the website coding is complete. Please provide all content and copy before the development phase.

6. Content Transfer

  • Depending on the allocated time and resources, we will transfer as much content as possible from the old website to the new one. The remaining content can be added by your designated staff via the CMS, with instructions provided as needed.

7. Site Review and Testing

  • Once the site is ready on our end, we will hand it over for further review, and testing, and for the client to upload or change content as needed. The client is responsible for reviewing the web draft for errors and providing feedback within a reasonable timeframe. The client needs to provide regular feedback to ensure that the project stays on schedule. The company will not be held responsible for any project delays or failures due to untimely feedback from the client.
  • Go-Live Approval: At this stage, you will need to provide us with a Go-Live date to launch the new website. Your website can go live within 48 working hours after receiving Go-Live approval, assuming all accounts are clear. Full payment is required before transferring the website to client servers.

8. Project Timeframe and Costs

  • In projects billed on an hourly basis, work is strictly carried out according to the scope provided by the client. The time is meticulously tracked for all activities, including coding, designing, QA, uploading to test and live servers, and any subsequent feedback provided by the client.
  • For projects involving dedicated manpower, if a programmer experiences idle time due to the unavailability of tasks from the client, the entire contracted time will still be accounted for, even in the absence of assigned tasks from the client.

9. Client Responsibilities Post-Launch

  • Once the website/application is live on your domain, it is your responsibility to perform regular full backups and update all components and third-party software.
  • The Client is also responsible for acquiring and purchasing a domain name, with Smartinfosys.net advising on suitable options if requested.

10. Branding and Revisions:

  • Smartinfosys.net will add a “Web Design” by “Smartinfosys.net” link to the footer of each website. Removal of this branding will incur a $250 fee.
  • Smartinfosys.net will address errors and implement revisions requested by the Client, with a maximum of three revisions allowed. Additional change requests after final approval may require a new contract and associated fees.

11. Payment Terms for Website Design and Development

  • Payment Requirement: Client agrees to pay for the Website Design & Development Services in full prior to the commencement of work on the Project Brief, unless otherwise agreed at Smartinfosys.net's discretion. All invoices are payable within one (1) business day from the date of the invoice.
  • Refund Policy: Clients may request a full refund within three (3) days of making a payment to Smartinfosys.net, provided that work on the Project Brief has not yet commenced. Once work has commenced, no refunds will be available; however, any refund requests will be subject to management review. Management will assess the work completed, and an appropriate refund will be issued based on the amount of work done. If the client explicitly instructs us to hold the work before it begins, a transactional charge of 4.5% will be deducted from the payment.
  • Payments: Milestone payments must be made within five (5) working days of each milestone/schedule, unless mutually agreed otherwise. The final payment must be made prior to the website/application/project going live. Receipt of payment is deemed as acceptance of the quote, milestone, delivery, project, and terms & conditions.
  • Payment Methods: Client may elect to have invoices paid by credit or debit cards, PayPal, or any other mutually agreed-upon payment method. If the client provides Smartinfosys.net with credit card information, they authorize Smartinfosys.net to automatically charge the card for any applicable charges associated with their account. Recurring charges will continue until the client cancels the account under Smartinfosys.net's cancellation policy. By opting for recurring services, the client implicitly grants authorization to Smartinfosys.net to automatically use their card information for all charges that apply to their account.
  • Surcharges and Currency: All payments to Smartinfosys.net are quoted in US Dollars (USD) and are inclusive of GST unless specified otherwise. Payments made via Xero Accounting Software or other third-party payment gateways may incur additional surcharges as per the service provider's policies.
  • Cancellation Policy: Once the website design phase is completed, the project cannot be canceled, and no refunds will be provided. If a project is canceled after payment but before work has commenced, a transactional charge of 4.5% will be deducted from the payment.
    If the project is canceled after work has commenced but before the design phase is completed, the maximum refund will be 50% of the invoice amount. All cancellation requests must be received in writing via our Project Management System, email, Skype, or any of our social media platforms. You can also contact us through our website's live chat system. Telephone requests for cancellations will not be accepted.

Late or Non-Payment

  • Account Suspension: If payment has been declined or not made, the Client’s account will be suspended, and a reactivation fee of $50 will apply.
  • Returned Cheques: For returned cheques due to insufficient funds, Smartinfosys.net reserves the right to request an alternate payment method.
  • Termination of Services: If payment has not been received within 30 days, Smartinfosys.net reserves the right to terminate services and remove any work or links associated with the project. Once an account is terminated, it cannot be reactivated, and all account history or information will be irretrievable. No refunds will be given after account termination.
  • Late Fees: All outstanding invoices will incur a late payment fee of 10% of the pending amount and an administration fee of $5.50 per month, calculated from the due date.
  • Debt Collection: If payment is not made within seven days after the late payment fee is applied, the outstanding amount will be referred to a debt collector. The Client will be responsible for any additional costs or charges associated with the recovery of the outstanding amount, including debt collection, administration, and legal fees.
  • Communication: All communications and correspondences regarding payments are generally conducted via email. It is the Client’s responsibility to keep Smartinfosys.net updated with their relevant email addresses.
  • Third-Party Payments: Any payments related to domain name registration, renewal, hosting, or third-party products/services purchased on behalf of the Client are non-refundable. For renewal cancellations, Smartinfosys.net must be notified at least 30 days before the renewal date.
  • Project Transfer: Smartinfosys.net typically builds and tests websites/applications on its own servers or hosted domains. The website/application will be transferred to the Client's nominated third-party server only after full payment of all invoices and dues.

2. Terms of Use

  • Variations and Revisions: Clients may select a package that includes multiple design variations. Each package allows for three rounds of revisions for the submitted designs. Clients must communicate revision requests clearly within the specified rounds to ensure timely adjustments.
  • Turnaround Time: We guarantee a turnaround time of 48 hours for the initial design drafts if the order is placed between Monday and Thursday. For orders placed on Friday and Saturday, designs will be supplied on the following Tuesday. The total delivery time for the project may vary based on the client's feedback and response time.
  • Ownership of Designs: Clients will have complete ownership of the designs once finalized. All rights to the designs will be transferred upon delivery.
  • Delivery Formats: Designs will be delivered in the following formats: AI, EPS, JPG, PDF, PNG, PSD, and TIFF. Clients should specify any preferred formats during the order process.
  • Satisfaction Guarantee: We are committed to providing 100% satisfaction with our design services. If clients are not satisfied with the final design, they may request additional revisions within the agreed-upon rounds.
  • Feedback and Communication: Clients are encouraged to provide timely feedback throughout the design process to facilitate smooth progress and ensure adherence to deadlines.

3. Payment and Refund Policy

1. Payment for Services:

All payments for projects are to be made in accordance with the package selected. Clients agree to pay the full amount as stipulated in the chosen package prior to the commencement of work.

2. Refund Policy:

At Smartinfosys.net, we strive to deliver high-quality design services that meet our clients' expectations. However, in the event of a project payment, please be aware of the following refund policy:

1. No Refund After Initial Delivery:

Any payment for a project is non-refundable after the delivery of the first set of designs. This policy applies unless Smartinfosys.net cancels or terminates the project for reasons other than your breach of contract.

2. Refund Conditions:

If a refund is granted, it will be a full refund minus an administration charge of USD 10. Refunds will only be issued if the management team at Smartinfosys.net determines that services were not delivered efficiently.

3. Non-Refundable Circumstances:

Refund requests will not be entertained under the following conditions:

  • Delivery of the first set of designs has been completed.
  • Work has commenced on the chosen design package, and revisions have been made at your request.
  • The project is canceled for reasons unrelated to the graphic designs provided by Smartinfosys.net.
  • No feedback is received from you for more than 7 days following the submission of the graphic designs.
  • Custom packages created to your specifications cannot be canceled or returned once the order has been placed and under the conditions mentioned above.
  • You have approved our design.

3. Dispute Resolution and Release:

These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes arising from your use of our site or related to any graphic designs purchased through our site shall be resolved in a court of law in India or through an arbitrator with statutory rights.

How Money Will Be Transferred:

  • Credit Card Payments: Refunds for payments made via credit card will be transferred back to your credit card account.
  • Cheque or Money Order Payments: Refunds for payments made via cheque or money order will be issued by cheque.
  • Please allow up to 7 business days for the processing of your refund.

Common Causes of Delay:

While we strive to meet your requirements within the specified time frame, certain circumstances beyond our control may lead to project delays. Such circumstances include, but are not limited to, acts of God, legislation, war, fire, flood, drought, power supply failures, strikes, or delays in obtaining necessary materials.

In the event of such delays, you may opt to terminate the contract by notifying us and will be responsible for payment for the portion of work completed and resources utilized up to the point of termination.

4. Client Responsibilities

Clients are responsible for providing timely feedback and necessary approvals throughout the design process to ensure a smooth workflow and avoid any delays.

10. Web Hosting

1. Services

Subject to the terms of this Agreement, Smartinfosys.net agrees to provide the web hosting services described in the Order for the fees stated in the Order. The individual or entity saved in our primary billing contact is considered the owner of the account.

2. Terms of Agreement

The term of the Agreement becomes effective immediately from the date that Smartinfosys.net generates an e-mail message to the Customer that states the activation of the Customer's account & will remain active for the number of months described in the Order. Upon expiration of the Initial Term, this Agreement shall automatically renew for the same period unless one party provides termination notice within 7 days before the expiration of the Initial Term or then-current Renewal Term, as applicable.

3. Payments

(a) Recurring Fees

Smartinfosys.net shall send the renewal notices in e-mail, seven days before the actual renewal date of your account. The credit card on file shall be automatically charged two days before the renewal notice date. If the customer has opted for PayPal, then the customer needs to pay the invoice amount every month manually. All payments received for services are non-refundable beyond our day's refund policy. Service will be inactivated on accounts whose charges have not been paid by the 7th day past the due date. The term “Account” is used to describe all the services provided to Smartinfosys.net’s customers as described and defined in the primary account ownership email and the physical address. Smartinfosys.net reserves all the rights to revoke or change this grace period if a late payment pattern is observed or in case your payment method is listed as any other option. All orders placed with a credit card payment are expected to work on a monthly renewal date, which is fixed for each month. Any accounts that were inactivated due to non-payment of dues are subject to a late payment fee of $10.00. Any accounts that were terminated due to non-payment of dues are subject to a restoration fee of $.10.00. This fee is to be paid once all the old dues have been paid.

(b) Payment Terms

Smartinfosys.net offers multiple payments for the convenience of our customers. There are increasing discounts for all the product lines. The customer is advised to acknowledge that all the payments to Smartinfosys.net are non-refundable after the period of the initial 30 days of service. In the initial 30 days of the Quarterly, Semi-Annually, or Yearly paid services, the customer may request to switch the account to a Monthly subscription. In such cases, the remaining balance in the account shall be refunded to the original payment method.

If the customer requests to change their billing cycle after the initial 30 days of service, any remaining balance will be credited to their account and will not be eligible for a refund. Before making the payment for the renewal invoice and before the renewal date, the customer can get the payment terms changed a no additional charge. If the customer wishes to cancel a Quarterly, Semi-Annual, or Yearly package before the renewal date of the services. The package will be prorated to the nearest Monthly billing cycle and any funds remaining shall be credited to the account. Any cancellation as a result of our TOS or AUP violation will be non-refundable.

(c) Credit / Debit Card and Address on File

When the customer places an order with a credit card, the card details are stored on file with Smartinfosys.net and the card will get automatically charged every month two days before your due date. For security reasons, the address on file must be the same as the address on the credit card. Our payment gateway will not accept the transaction if the addresses are not a match. If you have a credit card on file and the transaction is declined due to the address, this transaction might show up as a pending charge but will not be processed.

(d) Taxes

At Smartinfosys.net's request, the customer shall remit to Smartinfosys.net all the sales, VAT, or similar tax imposed on the services (excluding those like income tax on Smartinfosys.net, regardless of whether Smartinfosys.net fails to collect the tax amount at the time of the related services are provided.

(e) Payments – Dedicated Servers

The renewal notices are emailed 7 days before the service due date. If the customer has a credit card account on file, then the card will be automatically charged two days before the account renewal date. If the billing method is PayPal, then the customer needs to manually pay the invoice monthly by the due date at 12 PM EST. All renewals paid through a credit card are expected to work on the daily the credit card gets charged. If the customer fails to pay their invoice by the due date, Smartinfosys.net reserves the right to suspend their entire account, and a late fee of $25 would be levied. The term “Account” here describes all the services provided to a customer as described and defined in the primary ownership email and physical address. If an invoice is still not paid by the 7th day past the due date on the invoice, we reserve the right to terminate your service entirely and reformat your server.

(f) Service Upgrades

The customer agrees that service and license upgrades shall be maintained for a minimum of 30 days or one full billing cycle, whichever comes first. This includes but is not limited to purchases of add-on software, license upgrades, package upgrades, and physical upgrades to dedicated servers such as hard-disk or ram upgrades.

(g) Payments by Electronic Check (eCheck or ACH)

Smartinfosys.net accepts electronic checks, which are also referred to as eChecks or ACH payments, from banks or financial institutions located in the United States and payable only in U.S. dollars. When you provide your eCheck or ACH details, they are securely stored and automatically debited from your checking account every month, two days before your due date. By agreeing to this, you permit Smartinfosys.net to withdraw the entire invoiced amount as a non-refundable payment, using it for recurring charges. If you choose not to have recurring payments, you can opt out by following the provided instructions. It is your responsibility to ensure that there are enough funds in your account to cover all invoices. Smartinfosys.net, is not responsible for any fees, overdraft charges, or penalties incurred due to insufficient funds during invoice processing.

(h) Fees and Penalties for Electronic Check (eCheck or ACH)

As the customer, you accept the responsibility of ensuring there are sufficient funds in your account to cover all submitted invoices. Smartinfosys.net bears no liability or responsibility for any fees, overdraft charges, or penalties resulting from insufficient funds during invoice processing. Smartinfosys.net will make a maximum of two attempts to automatically debit your ACH account in a calendar month before deactivating the auto-debit feature. It's acknowledged that Smartinfosys.net will impose a $5 fee for each unsuccessful payment attempt and a $35 chargeback fee for any ACH payment disputes. Smartinfosys.net is not liable or responsible for any fees, overdraft charges, or penalties resulting from insufficient funds during invoice processing.

4. Cancellation and Early Termination

In any case, Smartinfosys.net terminates the Agreement for Customer's failure of the Agreement by Section 12 (Termination), or Customer terminates the service other than by Section 12 (Termination) for Smartinfosys.net breach. The non-paying amount for each billing cycle unpaid in the Initial Term or then-current Renewal Term, as applicable, is payable on the business day after termination. The customer admits to giving in writing to Smartinfosys.net the cancellation notice or downgrade of the current package prior to the renewable term, or the Customer accepts complete responsibility for full payment of the next term.

The cancellation request remains subject to the following guidelines:

Guidelines for submission of the cancellation request:

  • Cancellation requests must be put forward to the billing department.
  • Cancellation requests must be submitted from the primary e-mail address registered with Smartinfosys.net.
  • Cancellation request must contain the main IP address (VPS account) or main domain (shared/reseller account) of the hosting plan you wish to cancel.

5. Cancellation and Early Termination (Dedicated Servers)

14 days cancellation notice prior to the following renewal term must be submitted in writing to Smartinfosys.net or the Customer will have to pay full payment. The cancellation request will be subject to the following guidelines:

  • The cancellation request must be submitted to the billing department at sales@smartinfosys.net.
  • Cancellation requests must be submitted from the primary e-mail address with Smartinfosys.net.
  • The cancellation request must contain the main IP address of the server you wish to cancel.

6. Law/AUP

Customer agrees to use the service while following the applicable law and Smartinfosys.net's Acceptable Use Policy at aup.html (the "AUP"), which is herewith merged by reference in this Agreement. The customer agrees that Smartinfosys.net may revise AUP periodically to further describe reasonable restrictions and conditions on the Customer's use of the Services. Amendments made to the AUP are effective prior to Smartinfosys.net's notice to the Customer that an amendment has been made, or the first day of any Renewal Term that begins after the amendments. Customer agrees to cooperate with Smartinfosys.net's inquiry of any suspected breach of the AUP. In the event of a dispute between Smartinfosys.net and Customer regarding the interpretation of the AUP, Smartinfosys.net's interpretation of the AUP shall be considered.

7. Customer Information

The Customer represents and assures to Smartinfosys.net that the information he, she, or it has provided and will provide to Smartinfosys.net for configuring and maintaining the service is faithful. If the Customer is an individual, the Customer must represent and assure that he or she is at least

8. Indemnification

Customers accept to indemnify and hold harmless Smartinfosys.net hosting, Smartinfosys.net’s affiliates, and each of their respective officers, directors, agents, and employees from any and against all threatened or actual claims, demands, liabilities, obligations, losses, damages, penalties, fines, amounts in interest, expenses, and disbursements of any kind and nature whatsoever. This includes, but is not limited to, claims arising out of or relating to your breach of any terms & conditions, AUP of Smartinfosys.net.

9. Disclaimer of Warranties

SMARTINFOSYS.NET DOES NOT WARRANT, CLAIM, OR REPRESENT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. TO THE EXTENT PERMITTED BY THE LAW APPLICABLE, SMARTINFOSYS.NET DISCLAIMS ANY AND ALL WARRANTIES. THESE INCLUDE THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY APPLICABLE LAW, ALL SERVICES ARE PROVIDED ON AN “AS IS” BASIS.

10. Limitation of Damages

Smartinfosys.net will not withstand or be held liable for the damages not provided in the Agreement. The maximum, Smartinfosys.net or any employee, affiliate, or agent will be liable for are the lawful services. This includes the breach of agreement, infringement, tort, and strict liability. The payment in the form of money shall not be exceeding more than one month’s service.

If you, the consumer of Smartinfosys.net, raise any lawsuit or legal proceedings regarding the rules/enforcement of this Agreement, Smartinfosys.net has the right to receive payment from the other party. The payment provided by the other party must include all the expenses — the fees of the attorney, fees needed for the preparation, and fees for appealing

12. Suspension/Termination

(a)Suspension of Service

Customer agrees that Smartinfosys.net reserves the right to suspend services to the customer without notice and without liability in the following cases:

  • Smartinfosys.net fairly believes that the customers are violating the AUP.
  • Customer fails to cooperate with any inquiry of any suspected violation of the AUP.
  • When Smartinfosys.net considers that the suspension of service is needful to defend its network or its other customers.
  • On request of law enforcement or regulatory agency. Customer shall pay Smartinfosys.net's reasonable reinstatement fee if service is reinstituted following a suspension of service under this subsection.
(b)Termination

This Agreement may be terminated by either Customer or Smartinfosys.net at any interval of time without prior notice or any cause. Unused portions of service will be prorated and refunded on request ONLY if the following conditions are met.

If Smartinfosys.net fails in any material way to provide the service as described and in accordance with the terms of the Agreement and does not rectify the failure within ten (10) days of the submissions of the Customer's written notice describing the failure with adequate details. Termination in this manner does not absolve the customer from any of the required payments remaining on their initial or renewal term. The Customer may also terminate this agreement as per Section 4 and Section 6 respectively.

Either party may terminate this Agreement upon five (5) days advance notice if the other party admits insolvency, makes an assignment for the benefit of its creditors, files for bankruptcy or similar protection, is unable to pay debts as they become due, has a trustee or receiver appointed over all or a substantial portion of its assets, or enters into an agreement for the extension or readjustment of all or substantially all of its obligations.

13. Bandwidth Usage

The customer agrees that they will pay an “overage” if they have exceeded the use of allotted bandwidth. Every customer is allocated a monthly bandwidth allowance. This allowance depends on the hosting package you purchase. When your account exceeds the allocated amount, we reserve the right to suspend the account until the beginning of the succeeding allocation, suspend the account until more bandwidth is purchased at an additional cost, suspend the account until you upgrade to a package that suits your needs, terminate the account. If you exceed your bandwidth limit within the first 30 days of service, you cannot get a refund 30-day money-back guarantee, and you are responsible to pay for any overage.

14. Requests for Customer Information

Customers of Smartinfosys.net acknowledge and agree that Smartinfosys.net holds the right to report to the appropriate authorities in case of any violation of applicable laws. This includes any act by the Customer, or any of the Customer’s customers, or the end-users. Smartinfosys.net can report directly to the authorities without providing any formal notification to the customers. Smartinfosys.net may also provide details of the customer, any of its customers, or end-users in response to a formal or informal request from law enforcement agencies or regulatory bodies.

15. Back-Up Copy

Smartinfosys.net highly recommends that all customers maintain a secure and up-to-date backup of all essential data. The backup should be retained off-site, as it will offer an additional layer of security for disaster recovery purposes.

VPS Customers

Smartinfosys.net offers complimentary backup services to all VPS customers, Cloud host customers, managed shared cloud host customers, and managed WordPress customers. The snapshots of the data are captured every single day and maintained for almost 7 to 14 days. Consumers are advised to maintain the backup of the past data and current copy of data hosted by Smartinfosys.net notwithstanding any agreement to provide data backup services by YourSmartHost. Customers entirely acknowledge the fact that backup services offered by Smartinfosys.net are a courtesy service intended for disaster recovery. The backup services will help the customers maintain records even during adverse situations. YourSmartHost does not take any accountability or guarantee of the service. It includes the availability, integrity, content, or operability of these backups.

Cloud Customers

Smartinfosys.net provides complementary backup services for our Cloud customers. These backups include snapshots taken every other day and stored for approximately 7 days. The customer agrees to maintain a current copy of all content hosted by Smartinfosys.net notwithstanding any agreement by Smartinfosys.net to provide backup services. The customer acknowledges that any backups provided by or for Smartinfosys.net services are a courtesy service that is intended for disaster recovery only. Smartinfosys.net does not provide any warranty or guarantee of the availability, integrity, content, or operability of these backups.

Shared Cloud Customers

Smartinfosys.net provides complimentary backup services to our customers with Managed Shared Cloud services. We create and store weekly and two of the recent daily backups. The customer agrees to maintain a current copy of all the content hosted by Smartinfosys.net not with standing any agreement by Smartinfosys.net to provide backup services. The customer acknowledges that these and any other backups provided by or for Smartinfosys.net services are a courtesy service and only intended for disaster recovery. Smartinfosys.net does not provide any warranty or guarantee the availability, integrity, content, or operability of these backups.

Managed WordPress Customers

Smartinfosys.net provides complimentary backup services to those customers who have opted for our Managed WordPress services. We create and store weekly and two of the most recent daily backups. The customer agrees to maintain a current copy of all content hosted by Smartinfosys.net not with standing any agreement by Smartinfosys.net to provide backup services. The customer acknowledges that any backups provided by or for Smartinfosys.net services are a courtesy service and intended for disaster recovery only. Smartinfosys.net does not warrant or guarantee the availability, integrity, content, or operability of these backups.

Dedicated Server Customers

Smartinfosys.net advises dedicated server customers to obtain and maintain a secondary drive for website data backup. Smartinfosys.net offers external storage packages for our customers to create and maintain their backups stored externally of their dedicated server. Smartinfosys.net will not take any guarantee of the backup services on dedicated servers.

16. Request for Rebuild/Restore of Hosting Package

Customer can avail the benefit of two free rebuilds for a control panel change, and one free rebuild/restore during the term period. After this, if a customer requests a rebuild/restore, then a $5 one-time fee will be charged.

17. Changes to Smartinfosys.net’s Network

Upgrades and alterations in Smartinfosys.net's network, like software, hardware, and service providers, may affect the Customer's hosted applications in terms of interface and operations. Smartinfosys.net reserves the right to make modifications in its network for commercially reasonable discretion, and Smartinfosys.net shall not be liable for any damage to the customer.

18. Notices

Any notices by customers to Smartinfosys.net under the Agreement shall be given via e-mail to customer support at customer@smartinfosys.net. Smartinfosys.net will send any notices to the Customer via e-mail to the individual listed as the Primary Customer Contact on the Order. Notices are received on the day transmitted, or if that day is not a business day, on the first business day following the day delivered. A customer may change his, her, or its notice address by a notice give in this section.

19. Force Majeure

Smartinfosys.net is not responsible for any damage if the failure to perform the obligation is due to any event beyond Smartinfosys.net's control, including, without limitation, significant failure of a portion of the power system, failure of the Internet, natural disaster, war, riot, insurrection, epidemic, strikes, or other organized labor action, terrorist activity, or other events of a magnitude or type for which measures cannot be taken by the industry.

20. Binding Arbitration

If you are a customer of Smartinfosys.net, you are liable to the terms of the Binding Arbitration. Any claims, legal issues, or controversies arising from the Agreement will be managed by arbitration administered by the American Arbitration Association. The judgment will be in accordance with its Commercial Arbitration Rules. The location of Arbitration will be proposed by Smartinfosys.net at the time of the dispute.

Demand for arbitration will not be entertained if the demand is made after the date when the claims would be barred by the legal institution as per the norms of the applicable statute of limitation.

The arbitrator does not have the authority to offer punitive or any other damages that are not included in the Agreement. Each party is liable to bear its own costs, fees, and expenses of arbitration.

21. Miscellaneous

The parties involved acknowledge that they have no right to bind the other with any agreement. The Agreement can be legally amended only by a formal written agreement signed by both parties. Smartinfosys.net is not bound to the terms of various business forms or terms on the Customer’s purchase order. Smartinfosys.net will be liable only for the terms that are incorporated formally in the Agreement signed by the parties involved. If the party fails to abide by the provisions mentioned in the Agreement or somehow faces a delay in enforcement, the party will not be liable for any waiver from Smartinfosys.net related to the specific provision.

The associated party is liable for a waiver and rights associated with it mentioned in the Agreement. This waiver will not be applicable for any other rights prior, contemporaneous, or future occurrence, whether similar or not. The captions included in the Agreement are only for the convenience of the pirates and are not a part of the legal Agreement.

The following provisions will survive the expiration or termination of the Agreement:

Fees, indemnity obligations, provisions limiting liability and disclaimer of warranties, provisions regarding ownership of intellectual property, miscellaneous provisions, and other provisions that by their nature are intended to result in termination of the Agreement.

Parties involved cannot hold any third-party beneficiaries to the Agreement. The insurers, customers of resellers, are not considered as third-party beneficiaries of the Agreement.

The customer does not have the right to transfer the Agreement without Smartinfosys.net’s prior written consent.

The Customer requires approval of Smartinfosys.net for Agreement assignment, and that is contingent on the assignee meeting agreement credit approval criteria. Smartinfosys.net has the right to assign the Agreement in whole or in part.

This Agreement together with the Order and AUP constitutes will be considered as a complete and exclusive agreement between the parties. The Agreement will be dependent on the subject and supersedes any prior understanding or communication, written or oral.

11. Digital Marketing / Search Engine Optimization

1. Services Overview

  • 1.1 The specifics of the Services to be provided by Smartinfosys.net will be detailed in an associated Proposal.
  • 1.2 You agree to the timeframes and Optimization Progression as outlined in the associated Proposal.
  • 1.3 The Services will be planned for delivery in specific months during our engagement. While the exact dates within those months are not defined, Services may be delivered at any time during the month.
  • 1.4 We will send a weekly report every Friday via a Data Studio report, detailing the progress and performance of the Services.
  • 1.5 Regular site audits will be conducted, primarily when any updates are made to the website, to identify and resolve all SEO-related issues found through Google Search Console.
  • 1.6 We will also manage your Google My Business profile, ensuring it is optimized and up-to-date.
  • 1.7 We reserve the right to adapt the Optimization Progression based on requests from you that fit outside the agreed Services, delays in sign-off or feedback, website development changes, or any unforeseen complexities in delivering the Services.
  • 1.8 Uninterrupted Services: Our Social Media Management / Search engine Optimization is uninterrupted service and consist of automatic renewal of SEO order.

If customer wants to discontinue SEO services then customer has to inform at least 1 month before to the company for the extermination of SEO services.

2. Search Engine Optimization (SEO)

  • 2.1 We will perform a comprehensive SEO audit of your website to identify current performance metrics and areas for improvement.
  • 2.2 Based on the recommended keywords provided by you, we will conduct further analysis to enhance our keyword strategy.
  • 2.3 We will create proper meta tags that align with the optimized keywords to improve search visibility.
  • 2.4 Once the on-page SEO optimization is complete, which can take up to 1-2 months, we will proceed with off-page SEO and link-building strategies.

    These activities will be customized based on the nature of your business and industry to maximize relevance and impact. The off-page activities may include, but are not limited to

    • Directory listings
    • PDF sharing
    • Video marketing
    • Classified Ads Posting
    • Infographic Submission
    • Social Media Posting
    • Internal blog posting
    • Forum Posting
  • Additional Services:

3. Social Media Marketing

3.1 Authorization

By using our Services, you authorize Smartinfosys.net to access and use your email addresses and social media accounts, if applicable, to create and schedule social media posts according to the package you choose. If you do not have existing social media accounts or wish to use new accounts for your business, we will create and manage those accounts on your behalf.

3.2 Client Responsibilities

To enable us to perform our Services effectively, you agree to:

  • Provide all necessary details or grant access to your social media accounts.
  • Respond promptly to requests for information or content necessary for our Services.
3.3 Scope of Services

Our Services include, but are not limited to:

  • Content Creation: Developing engaging social media posts tailored to your brand and target audience.
  • Scheduling Posts: Scheduling posts based on optimal times for audience engagement to maximize reach and impact.
  • Blog and Video Creation: Writing blog posts and creating corresponding videos based on those blogs, then sharing this content across social media platforms to enhance visibility and drive traffic back to your website.
  • Review Posting: Actively managing and posting customer reviews to build trust and credibility within the community.
  • If you do not have social media accounts or wish to create new ones for your business, we will proceed to create those accounts and perform the above activities.
3.4 Intellectual Property

You retain ownership of all content and materials provided to us. By using our Services, you grant Smartinfosys.net a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute the content as necessary to provide the Services.

3.5 Limitation of Liability

Smartinfosys.net shall not be liable for any indirect, incidental, or consequential damages arising from your use of our Services. Our liability is limited to the maximum extent permitted by law.

3.6 Termination

Either party may terminate this agreement with written notice if the other party breaches any material term of these Terms and fails to cure such breach within 30 days of receiving notice.

4. Pay-Per-Click (PPC) Advertising

4.1 Scope of Services

We will manage your PPC campaigns across various platforms (e.g., Google Ads, Bing Ads, and social media platforms) to maximize your advertising return on investment (ROI). This includes keyword research, ad copy creation, campaign setup, ongoing optimization, and reporting.

4.2 Client Responsibilities

The Client agrees to provide us with necessary access to their PPC accounts and any relevant information required for effective campaign management. The Client must also inform us of their advertising budget, goals, and target audience to tailor the campaigns accordingly.

4.3 Budget Management

The Client is responsible for funding the PPC campaigns. We will provide recommendations for budget allocation based on industry standards and performance metrics. The Client agrees to maintain sufficient funds in their advertising accounts to avoid disruption in campaign performance.

4.4 Ad Copy and Creative Approval

We will create ad copy and creatives for the PPC campaigns, which must be approved by the Client prior to launching. The Client agrees to respond to our requests for approval within three working days to ensure timely campaign execution.

4.5 Performance Reporting

We will provide regular performance reports detailing campaign metrics, including impressions, clicks, conversions, and ROI. Reports will be delivered at agreed intervals (e.g., weekly or monthly) and will include insights and recommendations for ongoing optimization.

4.6 Optimization and Changes

We reserve the right to make adjustments to the PPC campaigns as needed to improve performance. This includes modifying keywords, ad copy, targeting settings, and budget allocations based on ongoing analysis and performance metrics.

4.7 No Guarantees

While we will strive to achieve the best possible results, the Client understands that we cannot guarantee specific outcomes, such as the number of clicks or conversions. PPC advertising is subject to market conditions, competition, and various factors beyond our control.

4.8 Third-Party Platforms

The Client acknowledges that the PPC services may involve third-party platforms (e.g., Google Ads). We are not liable for any issues arising from the use of these platforms, including but not limited to account suspensions, policy changes, or technical difficulties.

4.9 Cancellation and Termination

Either party may terminate the PPC services with written notice. In such cases, the Client will be responsible for any outstanding charges incurred up to the termination date, including any ad spend that has been committed.

4.10 Compliance

The Client agrees to comply with all applicable laws and regulations governing online advertising. We will adhere to the advertising policies of each platform utilized and will not engage in any deceptive or misleading practices.

5. Online Paid Advertising

5.1 Scope of Services

We will manage your online paid advertising campaigns across various platforms, including Facebook Ads, Instagram Ads, and LinkedIn Ads. Our services will include audience targeting, ad creation, campaign setup, monitoring, optimization, and performance reporting.

5.2 Client Responsibilities

The Client agrees to provide necessary access to their advertising accounts and any relevant information required for effective campaign management. This includes target audience specifications, budget allocations, and overall advertising goals.

5.3 Advertising Budget

The Client is responsible for funding the paid advertising campaigns. We will provide recommendations regarding budget allocation based on industry benchmarks and campaign objectives. The Client agrees to maintain sufficient funds in their advertising accounts to prevent disruption in campaign performance.

5.4 Ad Creation and Approval

We will create ad copy and creatives tailored to each platform, which must be approved by the Client prior to launch. The Client agrees to provide feedback and approval within three working days to ensure timely execution of campaigns.

5.5 Performance Reporting

Regular performance reports will be provided detailing key metrics such as impressions, clicks, conversions, and ROI. Reports will be delivered biweekly and will include insights and recommendations for further optimization.

5.6 Campaign Optimization

We reserve the right to make necessary adjustments to the advertising campaigns to improve performance. This may include changes to targeting settings, ad creatives, and budget allocation based on real-time data and performance analysis.

5.7 No Guarantees

While we aim to achieve optimal results, the Client understands that we cannot guarantee specific outcomes, such as the number of impressions, clicks, or conversions. The success of online paid advertising is influenced by various factors, including competition and market conditions.

5.8 Third-Party Platforms

The Client acknowledges that the advertising services will involve third-party platforms (e.g., Facebook, Instagram, LinkedIn). We are not liable for any issues arising from the use of these platforms, including but not limited to account suspensions, policy changes, or technical difficulties.

5.9 Compliance with Advertising Policies

The Client agrees to comply with all applicable laws and regulations regarding online advertising. We will adhere to the advertising policies of each platform utilized and will not engage in any misleading or deceptive practices.

5.10 Cancellation and Termination

Either party may terminate the online paid advertising services with written notice. In such cases, the Client will be responsible for any outstanding charges incurred up to the termination date, including any ad spend that has been committed.

5.11 Intellectual Property Rights

The Client guarantees that all materials provided for advertising purposes, including logos, images, and text, do not infringe on any third-party rights. The Client grants us a limited license to use these materials for the duration of the advertising campaigns.

6.1 Scope of Services

We will provide comprehensive online reputation management services aimed at enhancing and protecting the Client’s online image. Our services will include, but are not limited to:

  • Review generation to encourage positive feedback from customers.
  • Management of survey campaigns to gather insights and improve services.
  • Reputation monitoring to track mentions and sentiment across various platforms.
  • Social media follower growth services to increase engagement and visibility.
  • Review marketing strategies to leverage positive reviews for brand promotion.
  • Search engine optimization (SEO) strategies specifically focused on reputation management.
6.2 Client Responsibilities

The Client agrees to provide access to necessary accounts (e.g., social media, review platforms) and any relevant information required for effective ORM. The Client must respond promptly to review requests and surveys to maximize positive feedback.

6.3 Monitoring and Reporting

We will monitor the Client’s online presence regularly and provide detailed reports outlining reputation metrics, including review ratings, sentiment analysis, and social media engagement. Reports will be delivered at agreed intervals (e.g., weekly or monthly) and will include actionable insights.

6.4 Review Generation

We will implement strategies to solicit positive reviews from satisfied customers. The Client agrees to encourage customers to leave feedback through provided channels and will support these efforts by promoting the importance of reviews to their clientele.

6.5 Response Management

We will assist in managing responses to reviews, both positive and negative. The Client agrees to approve all public responses to ensure consistency with the brand's voice and messaging.

6.6 Content Creation and SEO

We will create and optimize content aimed at improving the Client’s online reputation. The Client agrees to collaborate in providing any necessary information or approvals for content related to their brand.

6.7 Social Media Management

We will manage social media accounts to promote positive content and engage with followers. The Client must provide access to their social media accounts or agree to the creation of new accounts for ORM purposes.

6.8 No Guarantees

While we aim to improve the Client’s online reputation, the Client understands that we cannot guarantee specific outcomes, such as the number of reviews generated or the improvement of ratings. The success of ORM efforts is influenced by various factors, including consumer sentiment and market conditions.

6.9 Third-Party Platforms

The Client acknowledges that ORM services may involve third-party platforms (e.g., review sites, social media). We are not liable for any issues arising from the use of these platforms, including account suspensions, policy changes, or technical difficulties.

6.10 Compliance with Legal Standards

The Client agrees to comply with all applicable laws and regulations concerning online reviews, endorsements, and reputation management. We will also adhere to ethical guidelines in our ORM practices.

6.11 Cancellation and Termination

Either party may terminate the ORM services with written notice. In such cases, the Client will be responsible for any outstanding charges incurred up to the termination date.

6.12 Intellectual Property Rights

The Client guarantees that all materials provided for ORM purposes, including logos and text, do not infringe on any third-party rights. The Client grants us a limited license to use these materials for the duration of the ORM services.

7. Content Writing Services

7.1 Scope of Services

We offer professional content writing services aimed at creating SEO-friendly and engaging blog posts. Our services include:

  • Word Count: Each blog post will adhere to a specified number of words, as mutually agreed upon with the Client.
  • SEO Optimization: All blog content will be optimized for search engines to enhance visibility and ranking.
  • Grammar Check: Each post will undergo a thorough grammar check to ensure accuracy and professionalism.
  • Plagiarism Check: All content will be checked for originality using reliable plagiarism detection tools to ensure that it is unique.

7.4 Review and Revisions

7.5 Delivery Schedule

We will deliver blog posts according to a mutually agreed-upon schedule. Delays in providing necessary information or feedback from the Client may result in changes to the delivery timeline.

7.6 No Guarantees

7.7 Confidentiality

7.8 Payment Terms

The Client agrees to pay for content writing services as outlined in the service agreement. Payment must be made before the transfer of ownership rights for the blog content.

7.9 Termination

Either party may terminate the content writing services with written notice. In such cases, the Client will be responsible for any outstanding charges incurred up to the termination date.

7.10 Indemnification

The Client agrees to indemnify and hold us harmless from any claims, damages, or liabilities arising from the use of the content created, including any legal claims related to copyright infringement or defamation.

8. Local SEO Services

8.1 Scope of Services

Our Local SEO services focus on optimizing your business’s online presence to improve visibility in local search results. The services include, but are not limited to:

8.5 Reporting and Communication

Regular updates on the progress of your Regional SEO campaign will be provided. The Client will receive a detailed report, typically weekly basis, highlighting key metrics, improvements, and any recommended actions.

8.6 Confidentiality

All information shared during the course of our Regional SEO services, including business details, strategies, and analytics data, will be kept confidential. We will not disclose any such information to third parties without the Client’s consent.

8.7 Payment Terms

The Client agrees to pay for Regional SEO services as outlined in the service agreement. Payment must be made according to the agreed schedule, typically monthly, and any outstanding payments must be cleared before the release of the final report.

8.8 Termination

Either party may terminate the Regional SEO services with written notice. If terminated, the Client is responsible for any payments due for services rendered up to the termination date.

8.9 Indemnification

The Client agrees to indemnify and hold us harmless from any claims, damages, or liabilities arising from the use of our Regional SEO services, including but not limited to any penalties or sanctions imposed by search engines due to non-compliance with their guidelines.

8.10 Disclaimers

Our Regional SEO services are provided on an “as-is” basis. We do not warrant that the service will meet your specific requirements or that it will be error-free. The Client assumes all responsibility for any consequences resulting from the implementation of our SEO recommendations.

9. Mobile SEO Services

9.1 Scope of Services

Our Mobile SEO services are designed to optimize your website for mobile and tablet platforms, ensuring that your business can reach potential customers regardless of the device they are using. The services include, but are not limited to:

  • Responsive Web Design: Ensuring your website is fully responsive and displays correctly on all mobile devices, including smartphones and tablets.
  • Mobile Keyword Research: Conducting detailed keyword research to identify terms that mobile users are searching for, optimizing your content accordingly.

We follow the best practices outlined by search engines like Google for mobile SEO. The Client agrees to adhere to our recommendations and guidelines to ensure the success of the mobile SEO campaign.

9.5 Reporting and Communication

The Client will receive regular updates and reports on the progress of their mobile SEO campaign. These reports will include insights into mobile traffic, user behavior, and overall site performance on mobile devices.

9.6 Confidentiality

All information shared during the course of our Mobile SEO services, including website details, analytics data, and optimization strategies, will be kept confidential. We will not disclose any such information to third parties without the Client’s consent.

9.7 Payment Terms

The Client agrees to pay for Mobile SEO services as outlined in the service agreement. Payment must be made according to the agreed schedule, typically monthly, and any outstanding payments must be cleared before the release of the final report.

9.8 Termination

Either party may terminate the Mobile SEO services with written notice. If terminated, the Client is responsible for any payments due for services rendered up to the termination date.

9.9 Indemnification

The Client agrees to indemnify and hold us harmless from any claims, damages, or liabilities arising from the use of our Mobile SEO services, including but not limited to any penalties or sanctions imposed by search engines due to non-compliance with their guidelines.

9.10 Disclaimers

Our Mobile SEO services are provided on an “as-is” basis. We do not warrant that the service will meet your specific requirements or that it will be error-free. The Client assumes all responsibility for any consequences resulting from the implementation of our SEO recommendations.

9.11 Duration and Renewal

The duration of the Mobile SEO services is typically 30 days, with the option for renewal based on the Client’s needs and the results achieved. Recurring monthly billing is applicable for all packages, and the Client may cancel recurring billing at any time with written notice.

10. App Store Optimization (ASO) Services

10.1 Service Description

Our ASO services include, but are not limited to, keyword optimization, visual asset creation, app ratings and reviews management, localization, regular updates, competitive analysis, and off-page optimization. The specific services to be provided will be outlined in the service package you select.

10.2 Service Packages

We offer different service packages, which may include varying levels of service as detailed in our proposal:

  • 5 Keyword Package
  • 10 Keyword Package
  • 20 Keyword Package

Each package comes with a specific set of services, including technical analysis, content creation, on-page and off-page optimization, and reporting. The proposed duration for each plan is 6 months.

10.3 Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information necessary for the execution of the ASO services.
  • Cooperate with the Service Provider to facilitate the successful completion of the services.
  • Regularly review the work done and provide timely feedback or approval as needed.
10.4 Payment Terms
  • Payment for ASO services must be made according to the selected package.
  • Payment is due upon receipt of the invoice unless otherwise specified in the agreement.
  • Failure to make timely payment may result in the suspension or termination of services.
10.5 Term and Termination
  • The term of this agreement will be based on the duration of the selected service package, typically 6 months.
  • Either party may terminate this agreement by providing 30 days written notice. If the Client terminates the agreement before the completion of the service term, the Client may be liable for any work completed up to the termination date.
10.6 Intellectual Property
  • All materials, content, and work created by the Service Provider as part of the ASO services remain the intellectual property of the Service Provider until full payment is received.
  • Upon full payment, the Client will receive a non-exclusive, royalty-free license to use the materials for the purpose outlined in this agreement.
10.7 Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the service. The Service Provider will not disclose or use any of the Client’s confidential information for any purpose other than the provision of the ASO services.

10.8 Limitation of Liability

The Service Provider will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the ASO services. The Service Provider’s total liability under this agreement, whether in contract, tort, or otherwise, will not exceed the total fees paid by the Client for the ASO services.

10.9 No Guarantee of Results

While the Service Provider will use its expertise and best efforts to improve the app's visibility and performance through ASO, the Service Provider does not guarantee specific results, including specific ranking positions, download numbers, or revenue increases.

10.10 Amendments and Modifications

The Service Provider reserves the right to amend or modify these Terms of Use at any time. Any such changes will be communicated to the Client and will be effective immediately upon posting.

Payment Terms of our Digital Marketing Services

  • All invoices must be paid in full within 15 days of billing.
  • Digital marketing/strategy packages are billed monthly, due by the 1st of every month.
  • All digital marketing and strategy packages have a minimum commitment of 6 months. After this period, clients may cancel at any time with one month’s written notice via email.
  • There are no refunds for fees related to the digital marketing/strategy package.

General Responsibilities

  • Service Commitment: We will perform technical and creative SEO services to improve your website's ranking on search engines. However, we cannot guarantee specific increases in traffic, prospects, or sales.
  • Penalties: If your website faces penalties from search engines due to our services, we will address them, provided the cause is clearly documented by the search engine.
  • Third-Party Services: Engaging third-party services without our written approval will void the service agreement.

Client Responsibilities and Acknowledgment for Digital Marketing Services

Access and Permissions
  • Administrative/Backend Access: The client shall provide administrative or backend access to the website for the analysis of content and structure.
  • Permission for Changes: The client grants permission to make changes for optimization purposes and to communicate directly with any third parties as necessary.
  • Traffic Statistics: The client will have unlimited access to existing website traffic statistics for analysis and tracking purposes.
  • Email Access: Access to a client email address (either @domain or Gmail) is required for requesting links and communication related to SEO.
  • Authorization of Materials: The client authorizes the use of pictures, logos, trademarks, website images, pamphlets, and content for search engine optimization purposes as deemed necessary by (Company Name).The Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to Smartinfosys.net for inclusion on the website above are owned by the Client, or that the Client has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend Smartinfosys.net and its subcontractors from any liability or suit arising from the use of such elements.
  • Content Provision: If the client’s site lacks sufficient textual content, the client must provide additional text content in electronic format to create additional or richer web pages.
Acknowledgment

The client acknowledges and agrees to the following terms regarding SEO services:

  • Non-Refundable Fees: All fees are non-refundable.
  • Confidentiality: All fees, services, documents, recommendations, and reports are confidential.
  • Search Engine Policies:(Company Name) has no control over search engine policies regarding the types of sites or content accepted, and the client’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.
  • No Guarantees: Due to keyword competitiveness, ongoing changes in search engine ranking algorithms, and other competitive factors, (Company Name) does not guarantee #1 positions or consistent top 10 positions for any particular keyword, phrase, or search term.
  • Dropped Listings: Occasionally, search engines may drop listings for unpredictable reasons. If a listing is dropped during the SEO campaign and does not reappear within 30 days of campaign completion, (Company Name) will re-optimize the website/page based on the current policies of the search engine in question. Smartinfosys.net is not responsible for changes made to the website by other par ties that adversely affect the search engine rankings of the Client’s website.
  • Expedited Listing Services: Some search directories offer expedited listing services for a fee. If the client wishes to engage in these services (e.g., paid directories), the client is responsible for all associated fees. A list of expedited listing services can be provided upon request.
  • Linking Risks: Linking to "bad neighborhoods" or obtaining links from "link farms" can severely damage SEO efforts. (Company Name) does not assume liability for the client’s choice to link to or obtain a link from any particular website without prior consultation.
  • Overwriting SEO Work: Smartinfosys.net is not responsible for any instances where the Client overwrites or modifies the SEO work applied to the Client’s website. This includes, but is not limited to, situations where the Client or their webmaster uploads content or makes changes that impact the already provided and optimized SEO work.

Delays and Liability

Delays in the Optimization Progression will not constitute a breach of these Terms or the associated Proposal, and will not affect the Payment Terms.

You may request changes or cancellations in writing, and we will make reasonable efforts to comply, provided it does not contravene these Terms or the Proposal.

If services necessitate work over a specified period, this will be detailed in the Proposal.

We may engage third parties to deliver part of the Services. Costs for third-party services will be included in the fees agreed upon unless specified otherwise.

If the Project timeline is impacted by a lack of responses from you, we cannot be held responsible for delays, and these will not be considered a breach of these Terms.

If information or feedback is not provided within 48 hours, you will be in breach of these Terms, and we may charge a cancellation fee equal to the full project fee, minus any deposit.
